Terms of Service

1. Agreement to Terms

By creating an account or using LEM ("Local Event Marketplace"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Rocky Stride LLC ("Company," "we," "us," or "our").

If you do not agree to these Terms, you may not use our services.

2. Eligibility

2.1 Age Requirements and User Tiers

LEM offers two levels of access based on age:

Minor Users (Ages 13-17):

• May create an account and use LEM with limited functionality
• CAN: Browse and view events
• CAN: Search for items posted by other users
• CAN: View item listings, details, and user profiles
• CAN: Indicate attendance at events
• CANNOT: Post items for sale or create listings
• CANNOT: Claim items or participate in the claim process
• CANNOT: Access any messaging features (Minor Users are prohibited from sending or receiving messages through the platform)
• CANNOT: Leave or receive ratings/feedback

Adult Users (Ages 18 and older):

• May create an account and use all LEM features
• CAN: Browse events, search, and view items and profiles
• CAN: Indicate attendance at events
• CAN: Post items for sale and create listings
• CAN: Claim items posted by other users
• CAN: Mark items as sold to a claimant
• CAN: Confirm receipt of items after in-person transactions
• CAN: Use messaging features (when available)
• CAN: Leave and receive ratings/feedback after completed transactions

IMPORTANT: Users under 13 years of age may not use LEM under any circumstances.

2.2 Age Verification

During account registration, you will be asked to confirm whether you are 18 years of age or older by checking a box stating "I am 18 years or older."

• If you check the box: You affirm that you are at least 18 years old and will have access to all LEM features as an Adult User.
• If you do not check the box: You affirm that you are at least 13 years old but under 18, and you will have limited access as a Minor User.

Data Minimization: To protect your privacy, we do not collect or store your date of birth. Your age tier is determined solely by your checkbox selection during registration.

Providing false age information constitutes a material breach of these Terms. Accounts determined to belong to users under 13 will be terminated immediately. Adult accounts determined to belong to users under 18 will be converted to Minor User accounts with restricted functionality.

2.3 Other Requirements

All users must:

• Not be prohibited from using our services under applicable law
• Not have been previously banned from our platform

Adult Users who post items or claim items must additionally:

• Have the legal capacity to engage in transactions that occur off-platform

3. Account Registration and Security

3.1 Account Creation

• You must provide accurate, current, and complete information
• You may only create one account per person
• You may not create accounts for others without their permission
• You may not use a false identity

3.2 Account Security

• You are responsible for maintaining the confidentiality of your password
• You are responsible for all activities that occur under your account
• You must notify us immediately at support@joinlem.com if you suspect unauthorized access

3.3 Account Termination

• You may delete your account at any time through the app settings
• We may suspend or terminate your account if you violate these Terms
• Upon termination, your right to use our services immediately ceases

4. The LEM Platform

4.1 What We Provide

LEM is a connection platform that helps users discover local events and connect with others who are buying or selling items at those events. Feature availability depends on your user tier (see Section 2.1).

IMPORTANT: LEM DOES NOT PROCESS PAYMENTS OR FACILITATE TRANSACTIONS.

LEM connects users; it does not handle any money, payments, or financial transactions. All actual buying and selling occurs in-person, off-platform, at events or other agreed-upon locations between users.

How LEM Works:

1. Posting: Sellers post items they wish to sell, including photos, descriptions, prices, and event locations
2. Claiming: Interested buyers can "claim" an item to express interest in purchasing it
3. Tagging: Sellers can mark an item as "sold" to one of the claimants
4. In-Person Transaction: The actual exchange of items and money happens in-person at the event, completely outside of LEM
5. Confirmation: After the in-person transaction, the buyer confirms they received the item
6. Feedback: Both parties can rate and review each other based on their experience

Features Available to All Users (Minor and Adult):

• Browse and view local events
• Search for items posted by other users
• View item listings, photos, details, and user profiles
• Indicate attendance at events

Features Available to Adult Users Only (18+):

• Post items for sale and create listings
• Claim items posted by other users
• Mark items as sold and confirm transactions
• Communicate with other users about listings (when available)
• Leave and receive ratings/feedback

4.2 Platform Role Disclaimer

IMPORTANT: LEM IS A CONNECTION PLATFORM, NOT A TRANSACTIONAL PLATFORM.

Rocky Stride LLC:

• Does NOT process any payments, credit cards, or financial transactions
• Does NOT collect any payment or banking information from users
• Does NOT act as an escrow service or payment processor
• Does NOT facilitate the actual exchange of money between users
• Is NOT a party to any transaction between users
• Is NOT a buyer, seller, broker, or agent for any user
• Is NOT responsible for verifying user identity or trustworthiness
• Is NOT responsible for inspecting or guaranteeing any item listed

All actual transactions (exchange of items and money) occur in-person, off-platform, directly between users at events or other locations. LEM simply connects interested parties.

4.3 In-Person Transaction Safety

IMPORTANT: ALL IN-PERSON TRANSACTIONS ARE AT YOUR OWN RISK.

Since all buying and selling occurs off-platform and in-person, we strongly recommend:

• Meeting at the event or in well-lit, public locations with other people around
• Bringing a friend or notifying someone of your plans and location
• Inspecting items thoroughly before exchanging any money
• Using cash or payment methods you are comfortable with
• Never sharing unnecessary personal or financial information
• Trusting your instincts and walking away if anything feels uncomfortable

LEM provides a space to connect, but the safety of in-person meetings is your responsibility.

4.4 Future Fees

LEM is currently free to use. We reserve the right to introduce fees or paid features in the future, which may include featured listings, premium features, or subscription tiers. Any fees will be clearly disclosed before you incur them.

4.5 Our Commitment to You: WE DO NOT SELL YOUR DATA.

Rocky Stride LLC makes the following commitments to all users, both Minor Users and Adult Users:

• No Data Sales: We do not sell, rent, lease, or trade your personal information to third parties. We will never sell your data. This commitment applies to all users regardless of age.
• No Phone Number Collection: We do not collect or store phone numbers. Your account is identified by your email address only.
• No Birthdate Collection: We do not collect or store your date of birth. We use a simple checkbox verification to minimize personal information collection.
• Minor User Safety: Minor Users (ages 13-17) are prohibited from posting items, claiming items, messaging, or leaving feedback. This restriction protects younger users from transaction-related interactions.
• No Payment Processing: We do not process payments or collect any financial information. All transactions occur in-person, off-platform, directly between users.

These commitments are fundamental to how we operate LEM and will not change without clear, advance notice to all users.

5. User Content and Conduct

5.1 Your Content

You retain ownership of all content you post on LEM ("User Content"), including listings, photos, messages, and feedback.

By posting User Content, you grant Rocky Stride LLC a non-exclusive, royalty-free, worldwide, sublicensable, perpetual license to use, display, reproduce, and distribute your User Content to operate and promote our services.

5.2 Prohibited Content and Activities

You may NOT use LEM to list, sell, or facilitate transactions involving:

Illegal Items:

• Stolen property or counterfeit goods
• Illegal drugs, controlled substances, or drug paraphernalia
• Firearms, ammunition, or explosives (where prohibited)
• Items that facilitate illegal activity

Regulated Items:

• Alcohol or tobacco products
• Cannabis or CBD products
• Government-issued documents
• Recalled products

Offensive Content:

• Pornographic or sexually explicit material
• Content promoting violence, terrorism, or hate
• Content that exploits or endangers minors

Prohibited Conduct:

• Spam, harassment, or threatening behavior
• Creating fake accounts or fake reviews
• Scraping or collecting user information
• Interfering with or disrupting our services

5.3 Enforcement

We reserve the right to monitor, remove, or disable any User Content that violates these Terms, and to suspend or terminate violating accounts. We may report illegal activities to law enforcement.

6. Intellectual Property

6.1 Our Intellectual Property

The LEM app, including its design, features, logos, and trademarks, is owned by Rocky Stride LLC. You may not copy, modify, reverse engineer, or create derivative works based on our services.

6.2 Copyright Complaints (DMCA)

Rocky Stride LLC respects intellectual property rights and complies with the Digital Millennium Copyright Act ("DMCA").

If you believe content on LEM infringes your copyright, please send a written notice to our Designated Agent at:

Your notice must include:

• Identification of the copyrighted work
• Identification of the infringing material with enough detail to locate it
• Your contact information
• A statement of good faith belief the use is unauthorized
• A statement under penalty of perjury that your notice is accurate
• Your physical or electronic signature

We will terminate accounts of repeat infringers in appropriate circumstances.

7. Disclaimers

IMPORTANT: LEM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

We disclaim all warranties, including:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF CONTENT
• UNINTERRUPTED OR ERROR-FREE SERVICE

WE DO NOT ENDORSE, VERIFY, OR GUARANTEE:

• The identity of any user
• The accuracy of any listing or user content
• The quality, safety, or legality of any item
• That any user will follow through on a claimed item or in-person meeting
• The outcome of any in-person transaction between users

YOU ASSUME ALL RISK WHEN USING OUR PLATFORM, MEETING OTHER USERS IN PERSON, AND CONDUCTING OFF-PLATFORM TRANSACTIONS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

8.1 No Liability for Damages

Rocky Stride LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

• Loss of profits, data, or goodwill
• Personal injury or property damage arising from in-person meetings or transactions
• Damages arising from off-platform transactions between users
• Damages arising from a user's failure to complete a claimed transaction
• Damages arising from unauthorized access to your account

9. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Rocky Stride LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your breach of these Terms
• Your User Content
• Your violation of any applicable law
• Your negligent or intentional misconduct
• Any off-platform transaction, in-person meeting, or dispute between you and another user

This indemnification does NOT require you to indemnify us for our own gross negligence or willful misconduct.

10. Changes to Terms

We may modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date
• For material changes, we will notify you through the app or by email
• Your continued use after changes constitutes acceptance

If you do not agree to updated Terms, you must stop using our services and delete your account.

11. General Provisions

11.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Rocky Stride LLC regarding your use of LEM.

11.2 Severability

If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full effect.

11.3 Assignment

You may not assign your rights under these Terms without our consent. We may freely assign these Terms to any affiliate, acquirer, or successor.

11.4 Survival

Provisions that by their nature should survive termination (including Sections 5.1, 6, 7, 8, 9) shall survive.
